These Terms and Conditions ("Terms") govern your use of the Opsler field service management platform and related services (the "Service") operated by Opsler, Inc. ("Opsler," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Service Description
Opsler is a cloud-based field service management platform that provides scheduling, dispatch, invoicing, customer management, technician mobile app, SMS notifications, and related business tools for service businesses. The Service is provided on a subscription basis as described on our pricing page.
2. Account Registration
2.1 Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. By creating an account, you represent that you meet these requirements.
2.2 Account Security
You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach. We recommend using strong, unique passwords and enabling all available security features.
2.3 Account Information
You agree to provide accurate, current, and complete information during registration and to update it as necessary. We reserve the right to suspend or terminate accounts with inaccurate or incomplete information.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to the Service or its related systems
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to store or transmit malicious code, viruses, or harmful content
- Resell, redistribute, or sublicense access to the Service without written permission
- Use the Service to send unsolicited communications (spam)
- Scrape, harvest, or collect information from the Service using automated means
4. Subscription and Payment
4.1 Pricing
The Service is offered under a single plan (Team Plan) at $149/month for up to 5 users. Additional users are $29/month each. Prices are in US dollars and subject to change with 30 days' notice.
4.2 Billing
Subscriptions are billed monthly in advance on the anniversary of your subscription start date. Payment is processed through Stripe. You authorize us to charge your designated payment method for all fees incurred.
4.3 Taxes
Prices do not include applicable taxes. You are responsible for all taxes associated with your subscription, except for taxes based on our net income.
4.4 Failed Payments
If a payment fails, we will attempt to charge your payment method up to three additional times over 10 days. If all attempts fail, your account may be suspended until payment is resolved.
5. Free Trial
We offer a 10-day free trial with full access to all features. No credit card is required during the trial. At the end of the trial period, you must subscribe to continue using the Service. If you do not subscribe, your account will be paused and your data will be retained for 90 days.
6. Data Ownership
6.1 Your Data
You retain all rights to the data you enter into the Service ("Your Data"). We do not claim ownership of Your Data. You grant us a limited license to use Your Data solely to provide and improve the Service.
6.2 Data Export
You may export Your Data at any time through the Service's export features or by contacting support. Upon account termination, we will make Your Data available for export for 90 days.
7. Intellectual Property
The Service, including its software, design, logos, and content, is owned by Opsler and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription term.
8. Third-Party Services
The Service integrates with third-party services including Stripe (payments), Telnyx (SMS messaging), and AWS (hosting). Your use of these services is subject to their respective terms of service. We are not responsible for the availability or performance of third-party services.
9. Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors beyond our reasonable control, including internet service provider failures, force majeure events, or third-party service outages.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPSLER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Opsler and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or violation of any rights of a third party.
12. Termination
12.1 By You
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.
12.2 By Us
We may suspend or terminate your account if you violate these Terms, fail to pay fees, or if we reasonably believe your use poses a security risk. We will provide notice before termination except in cases of severe violations.
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Your Data will be retained for 90 days following termination, after which it will be permanently deleted.
13. Dispute Resolution
Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
15. Changes to Terms
We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
16. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Opsler regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
